1. General

These Terms & Conditions (“Terms”) apply to all purchase orders (“POs”) issued by Lockie Ltd (“we”, “us”, “our”) to suppliers (“you”, “your”). By accepting a purchase order, you agree to be bound by these Terms, unless otherwise agreed in writing by an authorised representative of Lockie Ltd.

2. Formation of Contract

A contract between Lockie Ltd and the supplier is formed only upon acceptance of the purchase order in writing or by commencement of work/delivery of goods. Any additional terms proposed by the supplier, including on invoices, are not binding unless expressly agreed in writing by Lockie Ltd.

3. Supply of Goods and Services

• Goods and services supplied must conform to the description, specification, quality, and quantity stated in the PO.
• All goods must comply with applicable UK law, regulations, and safety standards.
• Any changes to the specification, delivery schedule, or pricing require prior written approval from Lockie Ltd.

4. Price and Payment

• The price stated in the PO is fixed, exclusive of VAT unless stated otherwise, and covers all costs including packing, packaging, shipping, and delivery.
• Payment will be made according to the payment terms specified in the PO, typically 30 days from receipt of a correctly rendered invoice.
• Lockie Ltd is not liable for additional charges unless agreed in writing.

5. Delivery and Risk

• Delivery must occur on the dates and to the locations specified in the PO.
• Time is of the essence; Lockie Ltd reserves the right to reject late deliveries.
• Risk in the goods passes to Lockie Ltd upon delivery and acceptance.

6. Inspection and Acceptance

• Lockie Ltd may inspect and test goods or services prior to acceptance.
• We may reject or return goods/services that do not comply with the PO.
• Rejected goods must be collected or replaced at the supplier’s expense.

7. Warranties

• The supplier warrants that goods/services:
• Conform to the PO, sample, or specification
• Are free from defects in design, materials, and workmanship
• Are fit for purpose and comply with all applicable laws
• The warranty period shall be the longer of statutory warranty or 12 months from delivery.

8. Intellectual Property

• Any intellectual property provided by the supplier for the PO remains the supplier’s property unless otherwise agreed.
• Lockie Ltd retains ownership of any IP arising from the use or modification of the goods/services under the PO.
• The supplier guarantees that delivery of goods/services does not infringe any third-party IP rights.

9. Confidentiality

• All PO details, specifications, and business information are confidential.
• The supplier shall not disclose any information without Lockie Ltd’s prior written consent.
• Confidentiality obligations survive termination or completion of the PO.

10. Termination

Lockie Ltd may terminate the PO, in whole or in part, at any time:

• By written notice for supplier breach, including failure to deliver or supply defective goods
• For convenience, by giving reasonable notice
• Termination does not affect accrued rights, including payment for accepted goods/services or damages for breach.

11. Limitation of Liability

• Nothing limits liability for death, personal injury, or fraud.
• The supplier shall indemnify Lockie Ltd against all losses, costs, or damages arising from supplier negligence, breach, or non-compliance with law.
• To the extent permitted by law, neither party shall be liable for indirect or consequential losses.

12. Force Majeure

Neither party is liable for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, strikes, pandemics, or transport disruption.

13. Governing Law and Jurisdiction

These Terms and all POs are governed by English law, and disputes shall be subject to the non-exclusive jurisdiction of the English courts.
